Use of and Membership in the Site Services is void where prohibited. By using the Site Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 14 years of age or older; and (d) your use of the Site Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are under 14 years of age.

To participate in any tournament or contest held on the Site with entry fees and/or prizes, you must be:

• be a U.S. citizen or resident alien with a U.S. address;
• be physically located within the U.S.; and

WE RESERVE THE RIGHT TO TERMINATE YOUR ACCESS TO AND USE OF THE SITE OR ANY PORTION THEREOF AT ANY TIME AND FOR ANY REASON, WITH OR WITHOUT CAUSE.

Notwithstanding Section on Eligibility, the following persons are ineligible to receive any prize offered on the Site: employees, officers, and directors (and their immediate family members) of the Site, its parent companies, subsidiaries, and affiliates; and any other person with access to non-public information regarding the operation of any tournament offered on the Site. For purposes of this section, immediate family members include parents, siblings, spouses, children, or any other person permanently residing in the same household with such employee, officer, or director.

As the holder of your account, you acknowledge and agree that you are the sole beneficiary of the account and are solely responsible for its proper use. Your account is not transferable to any other person. Accordingly, you may not allow any other person to access your account or access the Site, accept any winnings, or participate in any tournament using your account information. By registering and/or participating in any tournament offered on the Site, you agree to indemnify, defend, and hold us and our affiliates harmless from or for any claims, loss, liability, damages, and/or costs (including attorney fees) arising from any such unauthorized use.

The use of your account is subject to the rules and restrictions contained in these Terms, including those which immediately follow. Please be advised that by registering for an account and/or participating in any tournament offered on the Site, you acknowledge and agree that we may monitor by any means and at any time your account information and any and all activities on your computer while you are in the process of communicating with the Site and for the purposes of ensuring compliance with the Terms.

Member Disputes
You are solely responsible for your interactions with other Site Members. The Site reserves the right, but has no obligation, to monitor disputes between you and other Members.

Multiple Accounts
The Site allows only one account per person and only one account per computer and household or address. We reserve the right to monitor any effort to establish multiple accounts, including but not limited to: unique email address, and review of IP address. If we find any links between user accounts, we may at our own discretion conclude such accounts to be multiple accounts belonging to a single user and all additional accounts will be closed without notice and continued violation will result in the termination of any and all of your accounts. The Site also reserves the right to deny access to anyone, including, but not limited to those players who use proxy servers and/or IP addresses residing in certain geographical areas outside of the U.S.

Password
When you sign up to become a Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify the Site immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

Gameplay Fraud
You may not (a) gain unauthorized access to the Site's systems or any account (other than your own), interfere with the communications, procedures or performance of the Site or deliberately damage or undermine the Site, (b) affect the outcome of your online game play on your platform by means of or with the assistance of automatic, macro, bots, automated programs, screen analysis utilities, any type of mods, memory readers or similar methods or to otherwise commit fraud in relation to the Site, or (c) alter the human skill component of any game played on your platform. Any attempt to do so will result in civil and/or criminal prosecution, termination of your user account and forfeiture of all winnings, bonuses and incentives to which you would otherwise be entitled.

The Site is not responsible for technical, hardware or software malfunctions, lost or unavailable network connections, disconnects from your game play on your platform or any incorrect or inaccurate results that may be posted on your online game. The site, in its sole discretion, reserves the right to terminate any person's account who tampers with their game results for the tournament entered, or who otherwise violates these rules. By entering, entrants accept and agree to abide by the terms of these Official Rules.

Temporary Account Suspensions/Termination
The Site reserves the right to terminate your account, limit or prohibit your participation/entry in any tournament or tournament type with or without prior notice, if the following enforcement actions described in detail below occur:

• Account Suspension: We reserve the right to temporarily suspend your user account if: (a) you have earned $600 or more in prizes redeemed in the Gamer Shop in a calendar year until such time as you provide us with proof that you have submitted a W-9 Form or W-8 Form to the U.S. Internal Revenue Service; (b) you have not yet submitted to us a payment authorization form and a valid copy of your personal identification; (c) we are investigating your activity in relation to the Site for possible multiple account use, tournament gameplay fraud or poor conduct; or (d) you have had three pending and/or actual strikes marked against your account. Also a Suspension serves as a "Final" warning and will prevent the abuser from continuing their abusive behavior as well as all strikes the member shared with others are removed from their player profile. The Site will evaluate each validated abuse incident on a case-by-case basis and impose Termination or Suspension at its sole discretion. The Site reserves the right to lift the suspension of a user at any time, at its sole discretion.
• Account Termination: Upon the receipt of a credible and validated complaint, the Site may immediately terminate the membership of the individual user implicated in the abuse. Termination results in the immediate closure of the terminated user's account, the loss of all referrals, the forfeiture of any point in the account, a prohibition against any future membership, and the user will lose the right to compete in any tournament play.

By registering for an account and/or participating/entering in any tournament offered on the Site, you consent to allow the Site to access your account information to investigate complaints or other allegations of abuse.

Terms
This Agreement shall remain in full force and effect while you use the Site Services or are a Member. You may terminate your Membership at any time, for any reason, emailing mycommunity@gorillagamer.com subject: Terminate Membership. The Site may terminate your Membership at any time, without warning. Even after Membership is terminated, this Agreement will remain in effect.

IF WE DETERMINE, IN OUR SOLE DISCRETION, THAT YOU HAVE CIRCUMVENTED OUR PROHIBITION AGAINST MULTIPLE ACCOUNTS OR ENGAGED IN GAMEPLAY FRAUD OR POOR CONDUCT, WE HAVE THE RIGHT TO (A) FORFEIT ANY WINNINGS, POINTS, BONUSES AND/OR INCENTIVES CONTAINED IN YOUR USER ACCOUNT(S), AND/OR (B) TO TERMINATE YOUR USER ACCOUNT(S) ALTOGETHER IN WHICH CASE WE RESERVE THE RIGHT, BUT HAVE NO OBLIGATION, TO REFUND TO YOU ANY POINTS IN YOUR TERMINATED USER ACCOUNT(S). IN THE CASE OF MULTIPLE ACCOUNTS, WE RESERVE THE RIGHT, BUT HAVE NO OBLIGATION; TO CONSOLIDATE THE POINTS IN ANY MULTIPLE ACCOUNTS (LESS FORFEITED WINNINGS, POINTS PAID, AND ANY BONUSES/INCENTIVES GRANTED) TO YOUR FIRST ORIGINAL ACCOUNT. YOU ACKNOWLEDGE AND AGREE THAT WE HAVE THE RIGHT AT ALL TIMES TO DISCLOSE ANY INFORMATION WE DEEM NECESSARY TO COMPLY WITH APPLICABLE LAW, REGULATION, LEGAL PROCESS OF GOVERNMENT REQUEST.

While using the Site, and as a continuing condition of your use of the Site, you agree to comply with all applicable laws, rules and regulations and not to:

• restrict or inhibit any other visitor or member from using the Site, including, without limitation, by means of "hacking" or defacing any portion of the Site;
• use the Site and its content for any unlawful purpose;
• express or imply that any statements you make are endorsed by the Site, without our prior written consent;
• transmit (a) any content or information that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, including personal information or infringes our or any third party's intellectual property or other rights; (b) any material, non-public information about companies without the authorization to do so; (c) any trade secret of any third party; or (d) any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or other unsolicited commercial communication(except as otherwise expressly permitted by us);
• take any action that may undermine the feedback or ratings systems;
• engage in spamming or flooding;
• transmit any software or other materials that contain any viruses, worms, trojan horses, defects, date bombs, time bombs or other items of a destructive nature;
• modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Site, Content or Software;
• remove any copyright, trademark or other proprietary rights notices contained in the Site, Content or Software;
• "frame" or "mirror" any part of the Site without our prior written authorization;
• link to any part of the Site;
• use any robot, spider, site search/retrieval application or other manual or automatic device or process to retrieve, index, "data mine" or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents;
• harvest or collect information about Site visitors or members, including email addresses without their express consent.

Rules of Conduct:

1. The Site reserves the right to ban users who violate these standards, or who in any way abuse the community purpose of the chat areas.
2. The Site reserves the right to remove any posts for any reason.
3. You must be at least 14 years old to participate in any part on the Site.
4. Profanity, obscenities, or the use of **asterisks** or other "masking" characters to disguise such words, is not permitted.
5. Obscene, lewd, slanderous, pornographic, abusive, violent, insulting, indecent, threatening and harassing language of any kind will not be tolerated.

11. No advertising of any kind is allowed in messages.
12. No copyrighted materials are allowed in messages.
13. Information disclosed in the Site chat rooms or message boards becomes property of the Site and is revealed to the public. The Site is not responsible for any information you choose to disclose to others.

Advanced fonts, java, tables, html, or other programming codes or commands are not allowed in messages.

The Site is vigorously against the practice commonly referred to as "Spam". Users who are reported and whose claims of "Spam" are validated by the Site, will have their respective accounts either immediately TERMINATED or SUSPENDED, at the sole discretion of the Site. The Site defines "Spam" as:

1. Electronic mail messages addressed to a recipient with whom the initiator does not have an existing business or personal relationship or is not sent at the request of, or with the express consent of, the recipient;
2. Messages posted to message boards that are off-topic (unrelated to the topic of discussion), cross-posted to unrelated newsgroups, or posted in excessive volume;
3. Solicitations posted to chat rooms, or to groups or individuals via Internet Relay Chat or "Instant Messaging" system (such as ICQ).

You are subject to all laws of the state, province and/or country in which you reside and from which you access the Site and are solely responsible for obeying those laws. You agree the Site cannot be held liable if laws applicable to you restrict or prohibit your participation. The Site makes no representations or warranties, implicit or explicit, as to your legal right to participate in any tournament offered on the Site nor shall any person affiliated, or claiming affiliation, with the Site have authority to make any such representations or warranties.

It is the policy of the Site, in compliance with United States Internal Revenue Service regulations, to send a Form 1099 to any person who redeems prizes worth in excess of $600 (USD) on the Site in any given year. Failure to provide your social security number at that time will result in our inability to credit your account for any winnings in excess of $600.

United States domestic players can also provide us with their valid taxpayer ID by filling out an IRS W-9 Form (http://www.irs.gov/pub/irs-pdf/fw9.pdf).

By establishing a user account with the Site or participating in a contest or tournament on the Site, you agree that (a) we may display on the Site your username, public nickname, and tournament scores and records, and (b) we may use your personal information as set out in our Privacy Policy. By accepting any winnings/prizes in connection with the Site, you further agree and authorize us to publish and otherwise use for promotional purposes your username, public nickname, tournament records as well as print, broadcast and use, worldwide, in any media and at any time, your name, picture, voice, likeness, and/or biographical information for promotional purposes without additional compensation.

Except as otherwise provided in our Privacy Policy, any communication or material you or any other end user posts or transmits to the Site by electronic mail or otherwise, including any data, questions, comments, suggestions, or the like, is and will be treated as, non-confidential and non-proprietary ("User Material"). Subject to our Privacy Policy, User Material may be used for any purpose by us or our affiliates, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting. Furthermore, any ideas, concepts, know-how or techniques contained in any User Material you provide will become the our sole property and, accordingly, may be used by us or our affiliates for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and/or services, without any additional compensation to you.

WE ARE NOT RESPONSIBLE FOR USER MATERIAL. WE RESERVE THE RIGHT TO REMOVE ANY USER MATERIAL POSTED ON OR TRANSMITTED TO THIS SITE THAT WE DETERMINE, IN OUR SOLE DISCRETION, VIOLATES ANY LAW OR RIGHT OF ANY PERSON, INFRINGES THE RIGHTS OF ANY PERSON, OR IS OTHERWISE INAPPROPRIATE. IF YOU ARE AWARE OF ANY MATERIAL ON THIS WEB SITE WHICH INFRINGES THE COPYRIGHT, TRADEMARK, PATENT, OR ANY OTHER RIGHT OF ANY PERSON, PLEASE NOTIFY US IMMEDIATELY.

If you send comments or suggestions, including, but not limited to, notes, text, drawings, or computer programs, to the Site, such submissions shall become, and shall remain, the sole property of the Site. No submission shall be subject to any obligation of confidence on the part of the Site. The Site shall exclusively own all rights to, and shall be entitled to unrestricted use of, all such submissions without compensation to you.

You represent and warrant that all information you supply to the Site is complete and accurate. Knowingly submitting incomplete or inaccurate information will result in immediate termination of your account and forfeiture of any prizes and/or points to which you are otherwise entitled. This holds true for submitting challenge results.

While using the Site, and as a continuing condition of your use of the Site, you agree to comply with the Site's policy on Feedback. Abuse of the Site's feedback system undermines the integrity of the feedback system and decreases trust within the the community. Under federal law (the Communications Decency Act), the Site does not censor feedback or investigate it for accuracy. The Site is not legally responsible for the remarks that members post, even if those remarks are defamatory. However, this law does not protect the person who leaves the feedback, therefore the member would be responsible for it. There are limited occasions when the Site will remove feedback comments. The Site will remove feedback ratings and comments if they meet the standard for feedback abuse or users mutually agree. Feedback that meets any of the circumstances below is feedback abuse and may be subject to removal. Feedback that doesn't meet any of the reasons outlined below will not be removed:

• The Site is provided with a valid court order finding that the feedback is libelous, slanderous, defamatory or otherwise illegal.
• The feedback comment contains profane, vulgar, obscene, or racist language or adult material. Inflammatory language, such as "fraud, liar, cheater, scam artist, con man" etc., while strongly discouraged, will not be removed.
• The feedback comment contains personal identifying information about another member, including real name, address, phone number, or e-mail address.
• The feedback comment contains links or scripts.
• Feedback left by users who are indefinitely suspended for certain policy violations or are in violation of the Terms.

The Site will also offer the opportunity to withdraw feedback if both members mutually agree to the removal of a specified comment or feedback rating .
